Associate / Senior Associate – Corporate Commercial


Our client, one of the leading law firms in the country, is looking to employ an Associate or Senior Associate to join their Corporate Commercial Department (Johannesburg).

The role will involve drafting commercial agreements, the provision of opinions and advice to clients in regulated industries, interaction with regulators and government departments on behalf of clients and transactional work.

The successful candidate will be expected to assume responsibility for working closely with clients, as well as managing elements of various transactions. As such, this role will offer the candidate an opportunity to develop excellent project-management abilities and technical skills.

The candidate must have experience in commercial drafting and company law. Previous experience with, or a keen interest in, administrative/constitutional/public law and/or the regulatory and commercial aspects of the following industries would be beneficial: healthcare, food and other FMCG, franchising, gambling/bookmaking, advertising, consumer protection, non-profit entities and rail transport/engineering.

In addition, the candidate should be achievement-oriented, focused and able to work under pressure in a deadline driven environment.

Minimum Requirements

The successful candidate should be an admitted attorney with a strong academic record, and solid experience in the corporate commercial department of a law firm. Experience in constitutional/administrative/public law and/or the regulatory aspects of healthcare, food/FMCG, consumer protection and/or advertising would be beneficial.

In addition, the candidate should possess the following:
• a thorough knowledge of the law
• experience in commercial transactions, drafting and company law
• a passion for corporate law and regulatory matters
• strong analytical skills
• the ability to self-regulate
• excellent communication skills (both verbal and written)
• a track record of providing innovative solutions to complex transactions
• the ability to work as a member of a team

It is essential that the candidate also demonstrates an ability to manage client relations, billing processes and practice management in general.
This is a demanding but stimulating position which will require working outside of normal office hours, when necessary.

Role Description

• Assisting with negotiating and drafting of various agreements and corporate documents
• Researching law and drafting opinions, particularly in regulated industries/the public sector and in relation to constitutional/administrative law and public procurement
• Management and coordination of regulatory projects in Africa
• Advising on mergers and acquisitions, and other commercial transactions
• Undertaking due diligence investigations, particularly in regulated industries
• Advising on corporate governance and company secretarial matters
• Attending to smaller matters, and aspects of larger matters, independently
