Synopsis

Our client is an organisation that exists to contribute to the enablement of a conducive banking environment. Part of this responsibility is to ensure that they participate at the highest level of decision making in the country. To this end, our client has structured and organised itself to ensure effective participation in cabinet and its executive through the calibre of people and leadership that interact with Government at various levels and through various structures.

Qualifications and Experience
• LLB and CIS (Company Secretarial) qualifications are a requirement;
• Must be an admitted Attorney or Advocate of the High Court in South Africa;
• A Business qualification will be advantageous;
• Minimum of 5 to 8 years relevant experience handling work with strong multi-jurisdictional dimensions;
• Broad level of legal experience particularly in South African company law with a corporate commercial environment, is a requirement;
• Knowledge of Governance Body of Knowledge (G- Bok);
• Certify in the integrated report whether the organisation has filed required returns and notice in terms of the Company Act, and whether all such returns and notices appear to be true, correct and up to date;
• Provide assistance, support and guidance to the organisation in general.


Role Description

The incumbent of this role will work closely with the Board, the Managing Director and the Executives, providing information on board best practices and tailoring the board’s governance framework to fit the needs of the organisation, as well as the expectations of shareholders.

Key Accountabilities, Measures and Interfaces

The incumbent of this role will among others:
• Guide the Board on their responsibilities and duties;
• Advise the Board on matters of good corporate governance and of changes in legislation;
• Advise the Board of Directors on matters that may warrant board attention;
• Compile and plan meeting agendas and draft notices, including for Annual General Meetings;
• Compile Board packs and corporate calendars for the meetings;
• Ensure proper minute taking, approval and circulation of minutes;
• Ensure that key principles of King IV, namely strategy, policy, oversight and disclosure are covered during each financial period;
• Prepare and lodge special resolutions;
• Accurate opening of files and recording of information;
• Prepare and update statutory records of the organisation;
• Responsible for Board and Board Committee’s charters / Terms of Reference;
• Assess specific training needs of board of Directors and Executives regarding fiduciary / governance responsibilities;
• Prepare and facilitate annual Board evaluation;
• Ensure Board Succession planning;
• Scheduling of pre- meeting caucus / agenda review involving the Managing Director, Chairman and the Company Secretary;
• Assist HR with creating and updating of internal policies.
