Senior Company Secretary - Mining - Governance - Sandton (Listed Co)

Role Description

Our client is a leading South African diversified mining and minerals company, with world-class long-life, low unit cost assets.  Our client is looking to employ a Qualified Company Secretary reporting to the Senior Executive Finance: The position will be based in Sandton, Johannesburg.

 

COMPANY SECRETARY:

 

Purpose of the Role:

 

To effectively manage the Strategic, tactical, and operational Company Secretarial function.

 

Position Requirements:

  • Relevant tertiary qualification (e.g. B Com).
  • CIS registered.
  • Minimum of 7 years Company Secretarial experience of a large Company (market capitalisation of greater than R20 billion, multiple entities in the group structure including Trusts and Subsidiaries)
  • Experience in mining industry would be an advantage.
  • In-depth knowledge of all required statutes / regulations (e.g. the Companies Act, King IV, iXBRL, CIPC, etc.)
  • Proficiency in the English Language.
  • Valid drivers’ licence.

 

Job Responsibilities:

  • Responsible for the Company Secretarial function of the Group of Companies including trusts and subsidiaries.
  • Ensure that all statutory requirements are adhered to, particularly those specified in the Companies Act.
  • Responsible for providing guidance on Corporate affairs and corporate governance.
  • Responsible for determining the legal posture and interests of the Group to ensure that business practices, policies and dealings meet regulatory requirements
  • Meeting management (agenda, board resolutions, shareholder resolutions, meeting procedures, minutes of meetings, venue, refreshments, etc.).
  • Maintaining certain contracts and legal documents.
  • Managing the corporate calendar.
  • Preparation of documents for CIPC submission purposes including review of documents in XBRL format and paying annual duties.
  • Maintaining statutory records and registers.
  • Liaising with fellow Company Secretaries across the group for information sharing purposes

Salary is Negotiable: R1.2mill upwards
